Soulverse Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Soulverse, Inc. ("Soulverse," "we," "us," or "our") governing your use of the Soulverse mobile app and related services (collectively, the "Service").

By accessing or using Soulverse, you agree to these Terms. If you do not agree, do not use the Service.

IMPORTANT DISPUTE NOTICE

Please read the "Arbitration Agreement and Class Action Waiver" section carefully. It requires most disputes to be resolved by binding individual arbitration (not jury trial), limits court remedies, and waives class or representative proceedings, subject to specific opt-out rights.

You grant Soulverse a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify (for technical formatting), display, and transmit your content solely as needed to operate, secure, and improve the Service.

You represent that you have all rights necessary to provide such content and that your content does not violate law or third-party rights.

6. Safety Tools and Moderation

Soulverse provides safety tools including reporting and blocking controls. We may investigate reports and take moderation action, but we do not guarantee any specific enforcement result or response time.

You should use good judgment when interacting with others online and offline.

7. Community and User Interaction Disclaimers (No Guarantees)

8. Discovery Features and User Controls

Soulverse provides discoverability, visibility, and social interaction controls, including user-configurable thresholds and visibility settings. You are responsible for your chosen settings. We do not guarantee that any setting will fully eliminate unwanted interactions.

9. Privacy and Data Use

Your use of the Service is also governed by our Privacy Policy and Data Policy. By using Soulverse, you acknowledge those policies.

The Service, including software, design, logos, trademarks, and platform content (excluding user content), is owned by Soulverse or its licensors and protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.

Soulverse may integrate or link to third-party services. We are not responsible for third-party acts, content, availability, or policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR SECURITY.

SOULVERSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT USER CONTENT OR COMMUNICATIONS WILL ALWAYS BE AVAILABLE.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULVERSE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULVERSE'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

17.1 Informal Dispute Resolution Required First

Before filing arbitration or court action, you and Soulverse agree to try in good faith to resolve disputes informally for at least 60 days.

17.2 Agreement to Arbitrate

Except for disputes that qualify for small claims court and claims for injunctive relief as described below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and, where applicable, Mass Arbitration Supplementary Rules.

17.4 Class Action and Jury Trial Waiver

You and Soulverse waive any right to a jury trial and agree that all claims will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, mass, private attorney general, or representative action.

The arbitrator may not consolidate claims of different users except as expressly permitted under the batch process below.

17.5 Mass Arbitration / Batch Process

If 25 or more similar arbitration demands are filed against Soulverse by the same or coordinated counsel within a 90-day period, the parties agree those claims may be administered in staged batches (for example, batches of up to 50 claimants each) under AAA mass arbitration procedures to improve efficiency.

Statutes of limitation remain tolled only as permitted by applicable law and AAA procedures.

17.6 Small Claims and Injunctive Relief Carve-Outs

Either party may bring an individual claim in small claims court if it qualifies. Either party may seek temporary or preliminary injunctive relief in court for unauthorized access, misuse, intellectual property infringement, or threats to platform security pending arbitration.

17.7 Arbitration Opt-Out Right

You may opt out of this arbitration agreement by sending a written opt-out notice within 30 days of first accepting these Terms.

17.8 Governing Law for Arbitration and Non-Arbitrable Claims

These Terms are governed by the Federal Arbitration Act and applicable U.S. federal law. For non-arbitrable claims, governing law and venue will be the state/federal courts located in Delaware, unless applicable law requires otherwise.

17.9 Severability

If any part of this arbitration section is found unenforceable, the remainder remains in effect to the fullest extent permitted by law, except that if the class-action waiver is held unenforceable, this arbitration section is void to that extent.

18. Export, Sanctions, and Compliance

You may not use the Service if prohibited under applicable export control, sanctions, or trade laws.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means and update the Effective Date. Your continued use after updated Terms become effective constitutes acceptance.
